General Terms and Conditions of Sale

1. Objet
Ces conditions générales de vente (CGV) définissent les droits et obligations des parties dans le cadre
de la vente de produits de nettoyage par SARGO s.a (ci-après « le Vendeur ») à des revendeurs B2C
(ci-après « le Client »).
2. Champ d’application
Les présentes CGV s’appliquent à toutes les commandes passées par le Client auprès du Vendeur,
sauf dérogation écrite et expresse acceptée par les deux parties.
3. Produits
Le Vendeur propose une gamme de produits de nettoyage, dont les caractéristiques et les
descriptions sont détaillées dans les catalogues ou documents commerciaux transmis au Client. Les
photographies et descriptions sont indicatives et non contractuelles.
4. Commandes

• Les commandes doivent être passées par écrit (courrier, email, ou plateforme
dédiée) et sont considérées comme acceptées uniquement après confirmation écrite par le Vendeur.

7. Livraison

risques et périls de ce dernier dès leur remise au transporteur sauf si SARGO est en charge du
transport.
​8. Réception et réclamations
• Le Client doit vérifier la conformité des marchandises à la livraison et signaler toute
anomalie (produits manquants, endommagés, etc.) dans un délai de 5 jours.
• En cas de défaut avéré, le Vendeur s’engage à remplacer ou rembourser les produits
concernés.
9. Réserve de propriété
Les marchandises restent la propriété du Vendeur jusqu’au paiement intégral de leur prix,
conformément aux dispositions légales applicables.
10. Garanties
• Les produits sont garantis contre tout défaut de fabrication dans les conditions
précisées par le Vendeur.
• Cette garantie exclut les dommages résultant d’une mauvaise utilisation, du non-
respect des consignes d’emploi ou de l’usure normale.
11. Responsabilité
Le Vendeur ne saurait être tenu responsable de tout dommage indirect ou perte de profit résultant
de l’utilisation des produits.
12. Confidentialité
Le Client s’engage à ne pas divulguer les informations confidentielles relatives aux produits, aux
tarifs, ou à tout autre aspect commercial.
13. Force majeure
Le Vendeur ne peut être tenu responsable des retards ou non-exécutions dus à des événements
imprévisibles et irrésistibles (grèves, catastrophes naturelles, etc.).
14. Droit applicable et juridiction compétente
Les présentes CGV sont régies par le droit belge. Tout litige sera soumis à la compétence exclusive
des tribunaux du siège social du Vendeur.
15. Acceptation des CGV
La passation d’une commande par le Client implique l’acceptation pleine et entière des présentes
CGV.

1. DoelDeze algemene verkoopsvoorwaarden (AVV) bepalen de rechten en plichten van de partijen in het kader van de verkoop van reinigingsproducten door SARGO s.a. (hierna “de Verkoper”) aan B2C-wederverkopers (hierna “de Klant”).
2. ToepassingsgebiedDeze AVV zijn van toepassing op alle bestellingen die door de Klant bij de Verkoper worden geplaatst, behoudens uitdrukkelijke en schriftelijke afwijking die door beide partijen wordt aanvaard.
3. ProductenDe Verkoper biedt een gamma van reinigingsproducten aan waarvan de kenmerken en beschrijvingen zijn opgenomen in de catalogi of commerciële documenten die aan de Klant worden overgemaakt. Foto’s en beschrijvingen zijn louter indicatief en niet contractueel bindend.
4. Bestellingen: Bestellingen dienen schriftelijk te worden geplaatst (per post, e-mail of via een daartoe bestemd platform) en worden pas als aanvaard beschouwd na schriftelijke bevestiging door de Verkoper. Elke wijziging of annulering van een bestelling door de Klant moet door de Verkoper worden goedgekeurd.
5. Prijzen: De prijzen zijn uitgedrukt in euro en exclusief btw, tenzij anders vermeld. De toepasselijke prijzen zijn deze die gelden op de datum van de bestelling, zoals vermeld in de offertes of prijslijsten. Transport-, behandelings- of douanekosten worden afzonderlijk gefactureerd, tenzij anders overeengekomen.
6. Betalingsvoorwaarden: Betaling gebeurt volgens de modaliteiten vermeld op de factuur: bankoverschrijving, cheque, enz.•De betalingstermijn bedraagt 30 dagen einde maand vanaf de factuurdatum. Bij laattijdige betaling worden verwijlinteresten aangerekend aan een tarief van 12% per jaar op het verschuldigde bedrag, evenals een forfaitaire invorderingsvergoeding van 40 €.
7. Levering: Leveringstermijnen worden louter ter indicatie gegeven. De Verkoper kan niet aansprakelijk worden gesteld voor vertragingen die buiten zijn wil om plaatsvinden. De goederen worden geleverd op het door de Klant opgegeven adres en reizen op risico van de Klant vanaf de overhandiging aan de vervoerder, tenzij SARGO instaat voor het transport.
8. Ontvangst en klachten: De Klant dient de conformiteit van de goederen bij levering te controleren en eventuele afwijkingen (ontbrekende, beschadigde producten, enz.) binnen een termijn van 5 dagen te melden. In geval van een bewezen gebrek verbindt de Verkoper zich ertoe de betrokken producten te vervangen of terug te betalen.
9. EigendomsvoorbehoudDe goederen blijven eigendom van de Verkoper tot volledige betaling van de prijs, overeenkomstig de toepasselijke wettelijke bepalingen.
10. Waarborgen: De producten zijn gewaarborgd tegen fabricagefouten onder de door de Verkoper vastgelegde voorwaarden. Deze waarborg sluit schade uit die het gevolg is van verkeerd gebruik, het niet naleven van de gebruiksaanwijzingen of normale slijtage.
11. AansprakelijkheidDe Verkoper kan niet aansprakelijk worden gesteld voor indirecte schade of winstderving die voortvloeit uit het gebruik van de producten.
12. VertrouwelijkheidDe Klant verbindt zich ertoe geen vertrouwelijke informatie met betrekking tot de producten, de prijzen of andere commerciële aspecten bekend te maken.
13. OvermachtDe Verkoper kan niet aansprakelijk worden gesteld voor vertragingen of niet-uitvoering als gevolg van onvoorzienbare en onoverkomelijke gebeurtenissen (stakingen, natuurrampen, enz.).
14. Toepasselijk recht en bevoegde rechtbankDeze AVV worden beheerst door het Belgisch recht. Elk geschil valt onder de exclusieve bevoegdheid van de rechtbanken van de maatschappelijke zetel van de Verkoper.
15. Aanvaarding van de AVVHet plaatsen van een bestelling door de Klant houdt de volledige en onvoorwaardelijke aanvaarding van deze AVV in.

1. Purpose
These General Terms and Conditions of Sale (GTCS) define the rights and obligations of the parties in connection with the sale of cleaning products by SARGO s.a. (hereinafter referred to as the “Seller”) to B2C resellers (hereinafter referred to as the “Client”).
2. Scope of application
These GTCS apply to all orders placed by the Client with the Seller, unless expressly agreed otherwise in writing by both parties.
3. Products
The Seller offers a range of cleaning products, the characteristics and descriptions of which are detailed in the catalogues or commercial documents provided to the Client. Photographs and descriptions are for illustrative purposes only and are not contractually binding.
4. Orders

Orders must be placed in writing (by mail, email, or via a dedicated platform) and shall be deemed accepted only after written confirmation by the Seller.

Any modification or cancellation of an order by the Client must be approved by the Seller.
5. Prices

Prices are expressed in euros, exclusive of VAT, unless otherwise stated.

The applicable prices are those in force on the date of the order, as specified in the quotations or price lists.

Transport, handling, or customs costs are invoiced in addition, unless otherwise agreed.
6. Payment terms

Payment shall be made in accordance with the terms specified on the invoice: bank transfer, cheque, etc.

Payment terms are set at 30 days end of month from the invoice date.

In the event of late payment, late payment interest of 12% per year on the outstanding amount shall be applied, together with a fixed recovery fee of €40.
7. Delivery

Delivery times are provided for information purposes only. The Seller shall not be held liable for delays beyond its control.

Goods are delivered to the address indicated by the Client and are transported at the Client’s risk from the moment they are handed over to the carrier, unless SARGO is responsible for the transport.
8. Receipt and claims

The Client must check the conformity of the goods upon delivery and report any anomaly (missing or damaged products, etc.) within a period of 5 days.

In the event of a proven defect, the Seller undertakes to replace or refund the products concerned.
9. Retention of title
The goods remain the property of the Seller until full payment of the purchase price, in accordance with the applicable legal provisions.
10. Warranties

The products are warranted against any manufacturing defect under the conditions specified by the Seller.

This warranty excludes damage resulting from improper use, failure to comply with instructions for use, or normal wear and tear.
11. Liability
The Seller shall not be liable for any indirect damage or loss of profit resulting from the use of the products.
12. Confidentiality
The Client undertakes not to disclose any confidential information relating to the products, prices, or any other commercial aspect.
13. Force majeure
The Seller shall not be held liable for delays or failure to perform resulting from unforeseeable and unavoidable events (strikes, natural disasters, etc.).
14. Governing law and jurisdiction
These GTCS are governed by Belgian law. Any dispute shall fall within the exclusive jurisdiction of the courts of the Seller’s registered office.
15. Acceptance of the GTCS
The placement of an order by the Client implies full and unconditional acceptance of these GTCS.
